Terms and Conditions

Please read these terms carefully before using ZuruSafe services.

1. Introduction

Welcome to ZuruSafe. These Terms and Conditions ("Terms") govern your access to and use of the ZuruSafe website, mobile application, APIs, and related services (collectively, the "Service").

ZuruSafe is operated by ZuruSafe Systems Limited, a company registered with the Corporate Affairs Commission (CAC) in Nigeria ("ZuruSafe," "we," "our," or "us").

By creating an account, accessing, or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

2. Definitions

  • Transaction: A payment arrangement between a buyer and seller using ZuruSafe escrow.
  • Buyer: The user responsible for making payment and releasing funds.
  • Seller: The user responsible for delivering goods or services.
  • Initiator: The user who creates a transaction.
  • Counterparty: The user invited to join a transaction.
  • Escrow: Funds held temporarily by ZuruSafe pending transaction completion.

3. Eligibility

You must be at least 18 years old to use ZuruSafe.

By using the Service, you confirm that:

  • You have legal capacity to enter into binding contracts.
  • All information you provide is accurate and truthful.

4. Nature of the Service

ZuruSafe is an escrow-based payment facilitation platform. ZuruSafe is not a bank, money lender, or financial advisor.

We do not:

  • Own, sell, or deliver goods or services.
  • Guarantee the quality, legality, or delivery of items or services.

Our role is limited to holding and releasing funds according to transaction rules.

5. Account Registration and Security

You agree to:

  • Provide accurate registration information.
  • Keep your login credentials confidential.
  • Notify us immediately of unauthorized account use.

You are responsible for all activity conducted through your account.

6. Creating Transactions

When creating a transaction, you must:

  • Select your role (buyer or seller).
  • Enter the correct counterparty email.
  • Provide accurate transaction details and amount.

Transactions cannot be modified after creation.

7. Transaction Flow

Transactions progress through the following stages:

  1. Created
  2. Counterparty Joined
  3. Paid
  4. In Progress
  5. Funds Released
  6. Funds Deposited

Role-based actions apply:

  • Buyers make payments and release funds.
  • Sellers confirm delivery.

8. Payments and Escrow

Payments are processed through third-party payment processors, including Monnify.

Funds are held in escrow until:

  • The buyer releases funds, or
  • A dispute is resolved.

ZuruSafe is not responsible for delays caused by banks or payment processors.

9. Fees

ZuruSafe charges a service fee per transaction:

  • ₦1,000 – ₦14,000: ₦500 flat
  • ₦15,000 and above: 3.5%
  • Less than ₦1,000: ₦500 flat (fallback)

Fees are included in the total payable amount paid by the buyer.

10. Release of Funds

Buyers must only release funds after confirming satisfactory delivery.

Once funds are released:

  • The transaction is irreversible.
  • ZuruSafe is not liable for refund requests.

11. Disputes

Either party may raise a dispute at any stage except Funds Released and Funds Deposited.

Disputes require submission of evidence.

ZuruSafe may:

  • Freeze transactions.
  • Request additional documentation.
  • Make a final binding decision.

12. Frozen Transactions

ZuruSafe may freeze a transaction if:

  • Fraud or suspicious activity is suspected.
  • A dispute is under investigation.
  • Required compliance checks are pending.

All action buttons are disabled during freezes.

13. Prohibited Activities

You may not use ZuruSafe for:

  • Illegal goods or services
  • Money laundering or fraud
  • Weapons, drugs, or controlled substances
  • Adult content or sexual services
  • Gambling or betting
  • Cryptocurrency trades (unless expressly permitted)

14. Compliance and KYC

We may conduct identity verification and AML checks.

You agree to provide requested documentation.

We may suspend or terminate accounts that fail compliance.

15. Refunds

Refunds are only processed if:

  • A dispute is resolved in favor of the buyer.
  • Payment processor rules permit reversal.

Fees may be non-refundable.

16. Termination

We may suspend or terminate your account if:

  • You violate these Terms.
  • Fraud or illegal activity is suspected.
  • Required information is not provided.

17. Limitation of Liability

To the fullest extent permitted by law, ZuruSafe is not liable for:

  • Losses arising from buyer-seller disputes
  • Business losses or lost profits
  • Indirect or consequential damages

Our total liability is limited to the fees paid to ZuruSafe for the disputed transaction.

18. Indemnification

You agree to indemnify ZuruSafe against claims arising from:

  • Your misuse of the Service
  • Your violation of these Terms
  • Your transaction activities

19. Intellectual Property

All ZuruSafe content, branding, and software are owned by ZuruSafe Systems Limited.

You may not copy or reverse engineer the Service.

20. Privacy

Your use of ZuruSafe is governed by our Privacy Policy.

21. Changes to These Terms

We may update these Terms at any time.

Continued use constitutes acceptance.

22. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.
